CTO-in-a-Box License Agreement

This License Agreement (this "Agreement") governs your purchase and use of CTO-in-a-Box (the "Kit") from Sagecrest Solutions, LLC, a Florida limited liability company ("Sagecrest", "we", "us", or "our"). By completing your purchase, you accept the terms below. If you don't accept these terms, don't complete the purchase.

1. Definitions

  • Kit: the CTO-in-a-Box product, including all 26 templates, the implementation playbook, the Calendly walkthrough call, and any associated documentation or materials provided to you under your chosen license tier.
  • Licensee: you, the individual or entity purchasing the Kit.
  • License Tier: the Individual License or the Enterprise License you select at checkout.

2. Grant of License

Individual License ($347): Sagecrest grants you a non-exclusive, non-transferable, perpetual license for one (1) Chief Technology Officer at one (1) company to use the Kit for internal operational purposes within that company.

Enterprise License ($997): Sagecrest grants the purchasing organization a non-exclusive, non-transferable, perpetual license to deploy the Kit team-wide across one (1) organization, including the right to customize the Kit's templates for internal use within that organization.

Both License Tiers include access to the Calendly walkthrough call with Craig Hunt (subject to scheduling availability) and any future updates to the Kit released within twelve (12) months of purchase.

3. Restrictions

You may NOT:

  • Resell, redistribute, sublicense, lend, lease, rent, or otherwise transfer the Kit or any portion of the Kit to any third party
  • Publicly publish, post, share, or display the Kit's contents (including templates, frameworks, and accompanying materials) on any public forum, blog, social media platform, GitHub repository, or comparable channel
  • Use the Kit on behalf of any organization other than the one identified at purchase (Individual License: the single company where you serve as CTO; Enterprise License: the purchasing organization)
  • Claim authorship of, or represent yourself as the originator of, the Kit's frameworks, templates, or methodologies
  • Remove, alter, or obscure the LICENSE.md file, license_id watermarks, or attribution metadata embedded in the delivered Kit files
  • Use the Kit in any manner that infringes Sagecrest's intellectual property rights or applicable law

4. Intellectual Property

Sagecrest Solutions, LLC retains all right, title, and interest in and to the Kit, including all underlying intellectual property rights, frameworks (including the AI Quality Trinity), template structures, accompanying documentation, and associated trademarks. No transfer of intellectual property occurs through this Agreement. Sagecrest grants you only the license rights expressly stated in Section 2.

5. License Tracking and Enforcement

Each delivered Kit includes a unique license_id watermark embedded in the LICENSE.md file and in the YAML frontmatter of each template file. The license_id traces every delivered Kit back to the original purchaser. Public republication of the Kit, in whole or in part, that includes (or implies inclusion of) the license_id signature serves as evidence of license violation.

If we discover the Kit's contents (or material portions thereof) republished publicly without authorization, we reserve the right to:

  • Issue a takedown notice under the DMCA (17 U.S.C. ยง 512) or applicable foreign law
  • Pursue civil action for copyright infringement, breach of contract, and any other available causes of action
  • Refer the violation to law enforcement where applicable
  • Recover reasonable attorney's fees and costs of enforcement

6. Refund Policy

You may request a full refund within fourteen (14) days of purchase, for any reason. Download status does not affect eligibility. To request a refund within the eligible window, email support@sagecrestsolutions.com with your order ID. Sagecrest will process refunds within five (5) business days.

7. Warranties and Disclaimer

Sagecrest provides the Kit on an "as is" and "as available" basis. To the maximum extent permitted by law, Sagecrest disclaims all warranties, whether express, implied, or statutory, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade. Sagecrest does not warrant that the Kit will meet your specific requirements, will run uninterrupted or error-free, or that all errors will receive correction.

8. Limitation of Liability

To the maximum extent permitted by law, Sagecrest's total liability arising out of or relating to this Agreement will not exceed the amount you paid for the Kit. Sagecrest disclaims liability for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to your use of the Kit, even if Sagecrest received prior notice of the possibility of such damages.

9. Term and Termination

This Agreement takes effect on the date of your purchase and continues until terminated. Sagecrest may terminate this Agreement immediately if you materially breach any provision, including the restrictions in Section 3. Upon termination, you must cease all use of the Kit and destroy any copies in your possession.

10. Governing Law

Florida law governs this Agreement, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement falls under the exclusive jurisdiction of the state and federal courts located in St. Johns County, Florida, and you consent to such jurisdiction and venue.

11. Entire Agreement; Severability

This Agreement constitutes the entire agreement between you and Sagecrest regarding the Kit and supersedes all prior or contemporaneous communications. If a court holds any provision unenforceable, the remaining provisions remain in full force and effect.
